Insider trading needs to be legitimate inside knowledge of a company's positions that differs materially from public knowledge, and a person desides to buy or sell that security based upon the knowledge. It usually includes knowledge of the specific company differences and the time and subject matter of the release of the new information. Everyone involved in the trail of this informatin is subject to prosecution.
