Yes, my guess is they don't need SEC approval for the spin-off/distribution.

We anticipate, however, that trading in the Common Stock may commence in the “over-the-counter” market on the effective date of the spin-off.



The question on my mind is, suppose we don't get an EFFECT.
Will the SEC screw us? Will they allow a POS unprofitable company like AMZN to acquire this gem for a bargain and rip us all off?
Oh dear, the SEC, the destroyer of shareholder value?

Oh, the good old days, when "we" still had political power and used to kick around some of these regulators in the UK. That was fun.
