What you posted and from what I have read is, Talk stock will freeze. After Reorg, shareholders will get whats left; usually a much smaller part of the company than originally. That can be fractions of original shares.

What the proponents say. Talk stock will not be part of the reorg because UMS is a Sub.

Which is it. Big difference...
