On August 29, 2002, new rules went into effect requiring officers, directors and greater than 10% stockholders of public companies to file Forms 4 with the SEC within two days of most transactions in company securities. These rules were mandated by the Sarbanes-Oxley Act of 2002 and were adopted by the SEC on August 27, 2002.
