In the 2013 10-K directors owned 2,775,500 shares (13.3%). So the number is not that different.

Why they said previously that 12,911,460 shares are freely transferable is a bit of a mystery. It has caught my attention before. It could be complicated, who qualifies as an affiliate. Or it could simply be an error which they rectified.

Of course James Rogers Jr is not a director in the new company. So the 69,060 shares he owned in 2013 don't count anymore.
