Oh this is just pathetic. From the CEO's biography:

• 2001 to September 2010 – Michael Heilman joined Legacy Brands Holding in 2001 when it was a failed dotcom company. As its president, primarily on a part-time basis, and controlling shareholder, he successfully restructured the company.

Hmm lets see IRT was the predecessor and it was a failed dotcom company... what was going on way back then?? SEC Actions in connection with William David Jones and Robert Schlien. Who was the CEO?



On November 25, 1998, our management at that time voluntarily entered into a Consent to Entry of Judgment of Permanent Injunction and Other Relief in connection with In the Matter of IRT Industries, Inc., Securities and Exchange Commission ("SEC") File No. A-1605, pursuant to which the SEC has the right to present to the United States District Court, Southern District of Florida (Miami Division) a Final Judgment without further notice to us. The proposed Final Judgment restrains and enjoins us from committing fraud in violation of Section 17(a) of the Securities Act of 1933, as amended or Section 10(b) of the Securities Exchange Act of 1934 as amended and Rule 10-(b)5. In the event that we fail to comply with the terms of the Final Judgment, the SEC will be able to petition the Court to assess civil penalties against us.
