Paragraph 1: Vortex shall acquire 100% of all the outstanding and issued shares of Sagan

Paragraph 2: Sagan shall become a wholly owned subsidiary of Vortex

Paragraph 3: Vortex shall change its name to SL Corp.

Paragraph 4: The business of the company shall be building labs to testing services to the marijuana industry in Ohio and other states.

Paragraph 5: The shareholders of Sagan Labs shall receive preferred stock in exchange for their shares of Sagan Labs.

Paragraph 6: The acquisition shall close on or about July 30, 2016
