I will address this misconception concerning the very late 8-K/A once again!

T-Mobile of which United Mobile Solutions (the New TALK) is a Master Distributor since 2010 filed with the SEC an 8K Dated October 3, 2012 Announcing the Business Combination with MetroPCS.

The required 8-K/A for that event was received by the SEC on May 8 2013!!! You may take from this what you want but Certainly considerably more than the required 71 days (7 months)????

I did not find anywhere that T-Mobile committed Fraud by this Filing delay. I did not find any SEC actions taken against T-Mobile for the lengthy 7 month delay in this 8-K/A filing? Late filings happen for lots of reasons, but fraud is not one of them!

On October 3, 2012, MetroPCS Communications, Inc., a Delaware corporation (“MetroPCS” or the “Company”) entered into a Business Combination Agreement (the “Business Combination Agreement”) with Deutsche Telekom AG, an Aktiengesellschaft organized in Germany (“Deutsche Telekom”), T-Mobile Global Zwischenholding GmbH, a Gesellschaft mit beschrankter Haftung organized in Germany and a direct wholly-owned subsidiary of Deutsche Telekom (“Global”), T-Mobile Global Holding GmbH, a Gesellschaft mit beschrankter Haftung organized in Germany and a direct wholly-owned subsidiary of Global (“Holding”), and T-Mobile USA, Inc., a Delaware corporation and direct wholly-owned subsidiary of Holding (“T-Mobile”).

As more particularly described in the Closing Date 8-K, the Business Combination will be accounted for as a reverse acquisition in conformity with accounting principles generally accepted in the United States of America and T-Mobile USA is deemed to be the accounting acquirer in the Business Combination.
