Subsequent Event
On March 15, 2016, a change of control of the Company took place. Mark Dorey, Michael Kendrick, the Company, Seeker Tec, Ltd (“Seeker”), and Mark Osgood entered into a Definitive Debt and Equity Exchange Agreement (the Exchange Agreement”). Pursuant to the Exchange Agreement, (i) Mark Osgood obtained 51.88% of the issued and outstanding shares of common stock of the Company and was appointed as the sole officer and director, (ii) $500,000 of the debt owed to Mark Osgood by Seeker was assumed by the Company, (iii) $270,105.29 of the debt Seeker owed to Mark Osgood remained with Seeker, but the maturity date was extended and future penalties and interest was waived, (iv) the assets of Seeker were spun-off to Mark Dorey and Michael Kendrick, and (v) any management fees owed to Mark Dorey or Michael Kendrick were waived.
