The key word is "operate" and to what extent that implies. The company can continue to exist (operate) in Nevada and go about its daily business with a single director. However, certain corporate changes/decisions requiring director approval may not be able to be made without at least 3 directors according to the by-laws. Recall CDCH continued to "operate" as a Nevada corporation for the last couple years with only 2 directors. However, they were unable to undergo material changes to the corporation such as raising the OS without 3 directors.

The by-laws are out there if you care enough to get your hands on them. I have a copy lying around on one of my directories.

Whatever the case may be, this is a complete non-issue. And whatever hay you're trying to make out of it will be long forgotten after the 3rd director is elected at the AGM. SMH
