You do not have to vote yes to the deal. I find it hard to believe that this will get BIOD shareholder support, if BIOD shareholders get less than what they would get if they close shop tomorrow.

BIOD shareholder already get 45 cents cash in share if we close shop tomorrow and I would think a quick settlement and fire sales of our pipeline will net us more than 45 cents ..

So, why would anyone in their right mind vote yes, if share price is lower
