Charles W. Fritz - Founder and Chairman of the Board

Charles W. Fritz is the founder of NeoMedia Technologies, and served as Chairman of the Board of Directors, President and Chief Executive Officer of the corporation from its inception until June 2002. Since then, he has acted as a consultant and advisor to the company, as well as continuing to serve as Chairman of the Board of Directors.

Prior to NeoMedia, Mr. Fritz was an Account Executive with IBM Corporation from 1986 to 1988, Director of Marketing and Strategic Alliances for the Information Consulting Groupfrom 1988-1989, and a Consultant for McKinsey & Company.

Martin N. Copus is the President and Chief Operating Officer of NeoMedia Mobile Business Unit. Mr. Copus joined NeoMedia in March 2005 from 12Snap, Europe's leading interactive marketing agency specializing in mobile campaigns and mobile media sales, and he has a wide range of management experience across marketing services, in the U.S. and around the world.

A graduate of Oxford University, Martin previously held key national and international roles with global ad agency Leo Burnett, including CEO in Singapore and Senior VP at Burnett's global HQ in Chicago. His responsibilities spanned agency management, business development and client service for major multinationals such as McDonald's, PepsiCo, Kellogg's, Nike, Nestlé, Procter & Gamble and Marlboro.

William E. Fritz - Secretary and Director

William E. Fritz is a founder of NeoMedia and has served as Secretary and Director since its inception. He also served as Treasurer of NeoMedia from its inception until May 1, 1996. Mr. Fritz, who has over 34 years in establishing and operating privately owned companies, currently is, and for at least the past ten years has been, an officer and either the sole stockholder or a majority stockholder, of G.T. Enterprises, Inc. (formerly Gen-Tech, Inc.), D.M., Inc. (formerly Dev-Mark, Inc.) and EDSCO, three railroad freight car equipment manufacturing companies. Mr. Fritz holds a B.S.M.E. and a Bachelor of Naval Science degree from the from the University of Wisconsin.

James J. Keil - President, Keil & Keil Associates

James J. Keil has been a director of NeoMedia since August 6, 1996. Mr. Keil is currently a member and chairman of the compensation committee, the stock option committee and the audit committee. He is the founder and president of Keil & Keil Associates, a business and marketing consulting firm located in Washington DC, specializing in executive recruiting and e-commerce technology projects.

Prior to forming Keil & Keil Associates in April of 1990, Mr. Keil worked for Xerox and IBM corporation for 38 years. From 1989-1995, Mr. Keil was on the board of directors of Elixir Technologies Corporation (a non-public corporation), and its chairman for two years. Mr. Keil served on the board of directors of Document Sciences Corporation, a wholly-owned Xerox subsidiary.

Mr. Keil's college education includes a B.S. degree from the University of Dayton, and Master's level education at the Harvard Business School and the University of Chicago.

Charles T. Jensen is President, Chief Executive Officer and Chief Operating Officer of NeoMedia Technologies and serves as a Director for the company. Mr. Jensen served as Vice President and Chief Financial Officer of the corporation from its inception until June 2002, when he succeeded Charles W. Fritz as President and Chief Operating Officer. He brings to NeoMedia, over 27 years of audit, finance, and business experience, including audit experience with Price Waterhouse & Co.

Mr. Jensen has held the positions of Chief Financial Officer for Jack M. Berry, Inc., a Florida corporation which grows and processes citrus products and at Viking Range Corporation, a Mississippi corporation that manufactures gas ranges. Prior to that, Mr. Jensen was Treasurer of Lin

Jensen, Inc., a Virginia corporation specializing in ladies clothing and accessories and served as Controller and Vice-President of Finance for The Pinkerton Tobacco Co., a tobacco manufacturer.

Mr. Barclay has practiced law for approximately 37 years, and since 1967 has been an officer, owner and employee of the law firm of Barclay & Damisch, Ltd. and its predecessor, with offices in Chicago, Wheaton and Arlington Heights, Illinois.
