Because tomorrow is the 4th business day after April 28 - companies have to put out an 8-K 4 business days after a material event.
April 28 is when the transaction was supposed to close.
April 19 is when the original agreement was drawn up - public was informed April 25 which is 4 business days later.
Strange that they would tell an individual investor before releasing the 8-K. This has me a little worried. That is, the transaction isn't closed ... maybe not terminated, just not closed for now.
