Who bears the cost of this lawsuit ? Can we get pphm pay for that since the lawsuit is for the company's own good ? ??

But for a serious answer. It is up to the group. In practice that would mean hoping that there is a retired lawyer out there in the crowd that is willing to invest some time. Even that takes some money, but it helps to have some free legal driving the project.
The other (IMO, much more rational) approach would be to petition Dart. Let him know that a substantial group of retail holders would be clearly behind him. He is a little better at this game than most retail. And he also has money at stake.
BTW, I do not imply that I trust Dart here. I just bring this as a possibility.
