If a small-company CEO is not the majority shareholder, she may need to consider carefully the outlook of the individual, or group, that does hold that position. Although some investors are relatively passive, others take an active role, and the majority shareholder often can swing important votes, such as an election of officers or the decision on whether or not to merge with another company. If a majority shareholder feels the CEO is not meeting the requirements of the job, he can also request (or demand) the CEO's resignation or force a vote on the matter.
