Popt: The CCRA 10 filing for a registration of securities, points out that:
This is an Exchange Act registration statement and not a registered offering of securities.

Duh. What do you think it says right on top of the Form 10 what it is?

FORM 10

REGISTRATION STATEMENT UNDER THE SECURITIES ACT OF 1933

This, again, is how reverse mergers work...a Form 10, otherwise known as a "Super 8K" is filed, ushering in the new public company and share exchanges. Oh, and it's how reverse triangular mergers work too. ROTF!

Do I need to pull out other examples for you?
