I don't mean to rain on anyone's parade, but I asked about the reason for the "private placement" status in the US during the November offering (I asked the US broker, Suntrust, about this) and I found out that all Canadian offerings have to be on a private placement basis in the US due to securities regulations. Titan is not allowed to market their offering in the US, but it's okay for them to work with investors who reach out to them about their offerings.

This is also why every Titan press release begins with "Not for dissemination in the United States", even though every US newswire picks it up.
