RM into a "dead" shell is not uncommon. Some shells have huge tax loss carry-forwards that make them very attractive to suitors. Yeah, you assume the debt, but you also get the tax benefits, if any. Who knows? $DIDG may have millions of $$ worth of tax benefits for whoever merges with it. JMHO
