Either you're shorting the stock, or you're looking for cheap shares.
The 8K says two things
1) That there is some financing being done. We were told this was going to happen, it needs to be done to grow the business.

2) there was a reverse split that tightened up the shares. Usually done when there are a pile of available shares and they want to tighten it up to issue more. In this case there were very few, so still confused at to why they did this.
