ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
On November 23, 2015, the Board of Directors and a majority of the Company's stockholders approved the proposal to increase the number of shares of capital stock that the Company is authorized to issue to 10,000,000,000.

On December 3, 2015, the Company filed a Certificate of Amendment to the Articles of Incorporation with the state of Nevada to increase the total authorized capital from 5,000,000,000 shares of common stock, par value $0.001, to 10,000,000,000 shares consisting of 9,920,000,000 shares of common stock, par value $0.001, and 80,000,000 shares of preferred stock, par value $0.001 (the "Increase in Authorized Capital").
