Answers to your questions:
1. Is the merger closed? A: Yes. It is 100% closed. Although the companies had merged its operations the closing date was officially set by common written agreement on Jan 29, 2016.
Some have commented that without the 2 years of audited financials from UMS it is not closed.
A: As previously disclosed in the Form 8-K of iTalk Inc., a Nevada corporation (the “Company”), filed with the Securities and Exchange Commission, on February 2, 2016, the Company acquired United Mobile Solutions Corp., a Delaware corporation (formerly known as United Mobile Solutions, LLC) (“UMS”), which became a wholly owned subsidiary of the Company on January 29, 2016. The 2 years audited is just a filing requirement by the SEC.
2. In reference to the 71 days to release financials on an amended 8k…is that 71 days from what date? Feb 2? Or from the first 8k that was filed in Sept 2015?
A: the 71 days is from the date of final closing which is January 29, 2016.
3. Do you have the audited financials from UMS? It appears you gave them their shares which according to the first 8k was not to be done until they gave you the audited financials for the SEC.
A:In the meantime, the Company voluntarily reported today Feb 10, 2016 in its Form 8-K the most recent financial statements of UMS, namely the audited combined financial statements for UMS for the years ended December 31, 2014 and 2013, including the notes thereto, and the unaudited condensed combined financial statements for UMS for the six months ended June 30, 2015 and 2014, including the notes thereto.

They appear to be a bit late as per the 10NT from November 30th.
