An RS is not needed here, however it wouldn't matter even if one were to occur. Why? Because at the end of the day the share holders will hold the same percent of shares and the market cap will eventually reflect true value of the company's revenue stream. Also in most cases when a private company is seeking a public entity for a vehicle to bring their company public. If a reverse split is needed or any other form of "cleaning up," is deemed necessary it is in MOST cases done before any purchase agreement is initiated. Why because no one wants to get screwed. So if the shares aren't there as per the specifications of the purchase agreement, then the purchase agreement would have never been filed in the first place as it was on the 28th of September, 2015.
