From the Prospectus filed after the close:

21,492,359 shares, assuming all of the Series H Preferred Stock being sold in this offering is converted at $0.3492 per share.

Answer: its more Dilution....todays stock price low was $.35...everyone see the relevance to the sell off and why it traded down touch that price.
