DEFINITION of 'Authorized Stock' The maximum number of shares that a corporation is legally permitted to issue, as specified in its articles of incorporation.
"Authorized shares" have NO effect on Market Cap and very little effect on share valuation except in anticipation of the effect of an increase in Shares Issued.
