On December 14, 2015, we finally resolved an outstanding dispute with another creditor as referenced in our Form 8-K that we filed on September 23, 2015.

We are obligated to prepare and file the Form S-1 Registration Statement with the Commission for the registered offering and sale of up to five million dollars ($5,000,000) (the “Offering”) of our common stock (the “Subject Shares”) over a twenty-four (24) month period.
