Purpose of the Reverse Split

Our primary objective in proposing the Reverse Split is: (i) to effect an increase of the number of shares of our authorized Common Stock available for issuance, which increase is necessary to allow for, among other purposes, conversion or exercise of all issued and outstanding derivative securities, including Series A Preferred, as well as stock options; and (ii) to attempt to raise the per share trading price of our Common Stock in order to gain listing on the NYSE MKT or NASDAQ exchange (in either case, an “Exchange”).
