Shareholder Nominees and Related Background. We have been timely notified by one of our shareholders, Mr. James Wilson, of nominations that he intends to make at the meeting pursuant to Section 8 of the Company's Bylaws. Mr. Wilson's nominees are Dr. Gerald Bailey, Mr. William Hayden, and himself (the "Wilson Nominees"). Mr. Wilson reported to the Company ownership of 1 share of the Company common stock purchased on October 26, 2015. A description of our interaction with Mr. Wilson about his intention to Nominate the Wilson Nominees follows. In late October of 2015, we received telephone calls and e-mails from Mr. Wilson requesting the Company's stockholders list. On October 30, 2015, we received a letter from Mr. Wilson indicating his intent to propose for nomination the Wilson Nominees to the Company's Board of Directors and his intention to deliver a form of proxy to shareholders. In addition, Mr. Wilson requested the consideration and inclusion of the Wilson Nominees in the Company's proxy and voting materials and to be placed on the annual meeting agenda in order to give a brief presentation for his nominations. Enclosed with his letter, Mr. Wilson provided completed questionnaires for each of the Wilson Nominees pursuant to Section 10 of the Company's Bylaws. On November 4th and November 5th, the Company notified Mr. Wilson via e-mail that the Compensation, Nominating, and Corporate Governance Committee is charged with reviewing director nominations and making recommendations to the full Board and that the Company wished to set up either a telephonic or in-person interview in Houston, Texas as soon as possible for the Wilson Nominees. Mr. Wilson acknowledged receipt but did not make the Wilson Nominees available for interview. On November 12th, Mr. Wilson again requested the Company's stockholders list. On November 17th and November 18th, the Company notified Mr. Wilson that the Company will mail his proxy materials for him at his own expense.
