- Regarding the first promissory note, even though this Court may interpret the contract against the party who wrote it regarding ambiguities, the Contract is clear on its face that the note value is $323,504.91. If there is an ambiguity, it is regarding the default interest which is 808,862 shares. As to the second note for $25,000.00, Plaintiff testified he entered into a Promissory Note in the amount of $25,000.00 which was unrefuted by the defense. The Defendant argued that there was no consideration, however, since the Defendant drafted the note (which makes no sense) it must be interpreted against the drafter. Since the shares are reserved and can't be transferred, they have no value and can't pay off any debt. Plaintiff's uncontroverted testimony was the consideration was his payment of $25,000.00 to the third party on behalf of the company. Since it is unrefuted, Defendant owes the $25,000.00. Plaintiff is awarded $25,000.00 plus interest from the time of the filing of the lawsuit regarding the second promissory note. Plaintiff to prepare Findings of Fact and Conclusions of Law commensurate with this Decision and pass it by opposing counsel.
