The reason its trading below $1.23 is that the offering is not at $1.23 per share, but as per point #3. I expect this price to move up after this offering closes..

From the price per Unit, the Company will allocate CDN $1.02 to each Offered Share and CDN $0.21 to each Warrant comprising the
Units.
