IMImobile (Multi-Billion$ Co.) acquired all of LNCMQ

To put things into perspective, IMImobile is a multi-billion dollar company. IMImobile acquired ”all” of LNCMQ. IMImobile is far too big of a company to suspect anything other than success for LNCMQ from this acquisition. I think this IMImobile acquisition of LNCMQ is because of them having some major plans for success for the company as I presume after reading through the 8-K that was filed with the SEC below:

”On August 21, 2015, Lenco Mobile, Inc. (the “Company”) and Archer USA, Inc. (“Archer”), the wholly-owned subsidiary of the Company, filed a motion (the “Sale Motion”) with the Bankruptcy Court (defined below) for authority to enter into and consummate the share purchase agreement (the “SPA”) between the Company and IMImobile South Africa 1, Limited and IMImobile South Africa 2, Limited, companies registered in England with numbers 09634021 and 09633868 respectively (collectively, “IMI”). …”

“Pursuant to the terms of the SPA submitted to the Bankruptcy Court for approval, IMI agreed to acquire all issued and outstanding shares of Lenco International for the total purchase price of $5,600,000 (the “Purchase Price”), comprise of (i) cash at closing payment in the amount of $5.2 million, and (ii) deferred consideration of $400,000 to be paid within 90 days of the closing date. …”

“The Company and IMI executed the SPA on September 16, 2015, the sale closed and the net sale proceeds were wired into Lenco’s debtor-in-possession account on the same day. …”

IMImobile trades on the London Stock Exchange at £150.00+ (Euro), which converted to dollars is roughly around $170.00+ USD, is worth £7.2 Billion (Euro) which is roughly about $8,151,840,000 USD in value that IMImobile is worth:

IMImobile currently works with a large number of mobile operators and blue-chip enterprises, and its solutions are being delivered in over 60 countries in Europe, the Americas, MEA and India. Key mobile operator customers include Vodafone, O2, Telefonica, Aircel, Airtel, BSNL, AT&T, Mobitel, MTN and France Telecom and key media and enterprise customers include, Centrica, Coca-Cola, Universal Music, Tata, the AA, the BBC and other major broadcasters and financial institutions.

The Company is headquartered in London with a development centre in Hyderabad, India, and has more than 650 employees worldwide. The Company operates two 24/7 network operations centres, one in High Wycombe and the other in Hyderabad, to centrally monitor, maintain, manage and upgrade the Company’s software deployed across seven data centres and customer premises.

Usually during a bankruptcy, the share structure remains intact all the way through its restructuring. The share was reported to be as indicated below:

http://www.otcmarkets.com/stock/LNCMQ/profile
Authorized Shares (AS) = 251,000,000 Shares
Outstanding Shares (OS) = 82,145,314 Shares

The Float shares is somewhere below 20 million shares or lower based on how thin it trades, but I am not sure. However, I do feel pretty sure that IMImobile would not had ever acquired ”all” of LNCMQ unless they have some major plans for success to re-emerge them.
