They can't file because:

1) they don't have money to pay for the '14 10K to be prepared, audited, and filed and they don't have money to pay for the '15 10Q's to be prepared and filed.

2) filing the 10K would equate to convey signing his own confession for embezzling the $1.7 million the was received from the property sale to cerner.
