When we put an amount of shares to Magna, the per-share purchase price that Magna will pay to us in respect of the put will be equal to 95% of the average of the three (3) lowest daily volume weighted average prices of the Common Stock as reported by Bloomberg L.P. using the AQR function (the VWAP) for the five (5) trading days immediately preceding the applicable draw down notice.
