I. Current Summary of Creative Edge Nutrition (FITX) and CEN-Biotech:
**(Most up to date headlines/articles follow summaries below, as well as disclaimer.)

Creative Edge Nutrition (FITX) was historically the umbrella holding company based in Madison Heights, Michigan. The company vision has been to build by organic growth and strategic acquisitions in a "vertical integration" strategy.

Under the FITX umbrella, there were 3 primary business subsidiaries:

1) CEN-BIOTECH:
This subsidiary will be involved in production and distribution of medical marijuana, and is based in Lakeshore, Ontario, just outside Windsor in Canada. CEN-Biotech is a unique medicinal marijuana (MMJ) company. It will be one of the very few true "MMJ" stocks that will actually produce the marijuana for both smoked and non-smoked products, will be involved in researching the science of marijuana and cannabinoids such as CBD, as well as having a separate hemp division for both medicinal and industrial purposes. There is no other company encompassing all of these domains. This is opposed to most other MMJ companies that are involved with only derivative aspects of the marijuana such as CBD extracts, CBD research, edibles, smoking or growing devices, or those very limited number of publicly traded companies which simply grow and/or sell MMJ.

On 11/19/14, Creative Edge Nutrition (FITX) announced that CEN Biotech Inc. would be spun-off to be an independent, fully reporting publicly-traded company. CEN-Biotech will maintain Dr. Bill Chaaban as Chairman, President and CEO, and the board of directors is expected (by shareholders, but not yet officially announced by company) to transfer from FITX to CEN Biotech. James Robinson has become the new CEO of Creative Edge Nutrition (FITX).

CEN-Biotech completed their audit by a registered public accounting firm 9/23/15. They have applied to file their new common stock (outstanding shares: 6,900,000) on the OTCQB. After CEN has its shares of common stock quoted on the OTCQB, they will attempt to become eligible with the DTC, followed by plans on applying for listing on the NYSE MKT.

The decision to spin off CEN Biotech Inc. gives each company, Creative Edge Nutrition and CEN Biotech, the ability to concentrate their respective resources and efforts in their own individual area of specialty. CEN Biotech Inc. will devote its efforts and resources to advance in the area of specialty pharmaceuticals. Creative Edge Nutrition will continue to devote its efforts and resources on sports nutrition products as well as their new energy drink line (Giddy Up energy drinks are expected to officially launch any day).

Following the spin-off, shareholders of Creative Edge Nutrition (FITX) will retain their same shares in FITX while additionally getting “free” shares in CEN Biotech, which will be a new publicly-traded company (stock symbol yet to be named). Notably, the new CEO of FITX, James Robinson, has stated that there will not be a reverse split of FITX. The distribution of CEN Biotech shares will be on a pro rata basis, based on the number of shares of FITX shares owned as of market close 11/30/15. The ratio will be 1 share of CEN common stock for every 700 shares of FITX common stock held. So basically, buying FITX stock prior to 11/30/15 will give you stock in 2 different companies (2 for 1); FITX and CEN-Biotech (ticker forthcoming). After 11/30/15, shares in each company can only be purchased separately. Details of the spin off are linked below in the press release section.

CEN’s planned product-line will include multiple strains and hybrids of MMJ for patients, as well as cultivation services for other licensed producers and licensed dealers. MMJ will be grown for both smoked and non-smoked uses. It will also develop industrial hemp products. CEN’s organically cultivated MMJ will be offered in 1, 3, 5, 10 and 15 gram increments. The initial product-line will include the following strains and hybrids:

-Indica Dominant Strains: Helps treat pain, stress, muscle spasms and insomnia
-Sativa Dominant Strains: Helps treat mood disorders (depression), headaches, glaucoma and lack of appetite
-Indica/Sativa Hybrids: Helps treat pain, anxiety, lack of appetite and mood disorders (depression).
-"Kush" Strains: Helps treat pain and insomnia
-"Diesel" Strains: Helps treat mood disorders (depression) and anxiety
-"Haze" Strains: Helps treat headaches, lack of appetite and mood disorders (depression)

Regarding Licensure:
-Health Canada granted CEN-Biotech a “Ready to Build” letter 11/2013. The initial build out phase of their state of the art facility was completed ahead of schedule, at the request of Health Canada to expedite (per documents released by CEN-Biotech). The call to Health Canada was made in April 2014. Unexpectedly, Health Canada was extremely slow in conducting inspections for all companies. FITX has stated that they will be immediately ready to begin growing (grow room pictures, lights, etc. were previously posted on their FB page) upon licensure. Health Canada eventually completed their pre-license inspection on 7/31/14 (link to full report below). It was suggested by the reviewer that licensure be granted following a couple very minor suggested adjustments (1 vent screen and a security camera angle/speed), which were quickly upgraded to specification. Months began to go again as CEN-Biotech awaited re-evaluation of these minor adjustments for final license approval. During the delay, they continued to take all steps in producing the highest quality MMJ.

-The company posted on their Facebook page 9/11/14:
“CEN Biotech has hired The Academy of Applied Pharmaceutical Sciences to conduct a five day course for our staff regarding the "Fundamentals of Quality Assurance for Medical Marihuana- Good Production Practices". This course runs today through Monday. We have staff members present for this specialized training. It renews our commitment to quality and our pledge to continually invest in the Canadian economy. This is NOT a Health Canada requirement. It is a company initiative to ensure staff is trained by a recognized independent third party. It is a commitment to quality.”

Unfortunately, during this delay a malicious unrelenting campaign against CEN-Biotech with a release of unending bash articles also began. This drove the share price down and influenced Health Canada with misleading and skewed information. There is a lot of speculation as to who/what entities are/were behind it (including competitor companies scared since licensure of CEN-Biotech would make them the largest grower of MMJ (some of which whose management have been documented to bash FITX publicly on Twitter), and shorting groups), but details are now coming to light as discussed below.

Early on, the Town Of Lakeshore Mayor, Former Canadian Provincial Minister Of Trade, President and CEO of the WindsorEssex Economic Development Corporation, and Royal Canadian Mounted Police had all been backing CEN-Biotech (welcome and ready to build video linked below also confirms this). However, during the months of delay awaiting reinspection mentioned above, along with the onset of the malicious campaign against CEN-Biotech in attempts to block their license, some in the town of Lakeshore also began to turn against CEN-Biotech during the ongoing delay.

In Fall 2014, a few nearby residents began to complain about the project with outlandish claims/concerns just as license was coming, despite watching the buildings go up and saying nothing for all of the preceding months. They also wrote and sent a letter to Health Canada with their attorney requesting license denial/delay. It later came out in a letter by CEN-Biotech (and heard during audio for a Lakeshore town hall meeting) that a few of these neighbors were attempting to extort significant compensation in monetary value and employment in return for their support. These few neighbors were able to influence their local town councilors to write a new bylaw stating medical cannabis grow-ops need to be zoned industrial, not agricultural (CEN-Biotech is agricultural), in an attempt to make CEN-Biotech’s facility defunct. The mayor also began to flip-flop regarding CEN-Biotech and change his stance. This is perfectly illustrated in the "Canna-Gate" video linked below.

There have been similar zoning motions passed by other towns that were struck down by the provincial government, saying that grow-ops do not require industrial zoning. The town knew what was being built the whole time, provided building permits, along with the ready to build letter from Health Canada, so it has been of the opinion that CEN-Biotech will be grandfathered in. The pre-hearing at the OMB (Ontario Municipal Board) in the legal fight of Lakeshore’s unfair retroactive reversal of their initial zoning/building approvals is scheduled for 1/5/16. The goal is to establish grandfathered status and nonconforming use (type of zoning variance where a parcel of land is given an exception from current zoning ordinances due to improvements made by a prior owner or before the current zoning ordinances made the desired use non-conforming under local law).

There has been speculation of competitors and/or shorting groups influencing these few residents and city officials, as well as supporting the malicious campaign against CEN-Biotech with the release of relentless bash articles discussed above, but no public proof of this has been released. However, some of these details and connections have been uncovered in CEN-Biotech’s legal fight. On 9/18/15, CEN-Biotech stated, “This new and relevant information has been sealed by the court, preventing us from disclosing it publically. We are very excited about the promise of recently disclosed information that, in our opinion, solidifies our position with Canada in our continued pursuit of our earned and deserved license to grow medical marijuana.”

On 3/11/15, Health Canada officially rejected the license, after being influenced by the false/misleading information put out during the malicious campaign against CEN-Biotech as discussed above. CEN-Biotech filed an application for judicial review in Canadian federal court on 4/10/15 in order to force a reversal of this erroneous decision. The file is currently making its way through the legal process in Federal Court. The steps to this appeals process are:

•Step 1: The applicant gathers the required resources
•Step 2: The applicant considers the preliminary issues of jurisdiction, standing, and timelines
•Step 3: The applicant drafts the notice of application and the Federal Court issues it
•Step 4: The respondent files a notice of appearance
•Step 5: The tribunal transmits the certified tribunal record to the parties and to the Federal
•Step 6: The applicant serves its affidavit evidence, if necessary
•Step 7: The respondent serves its affidavit evidence, if necessary
•Step 8: The parties conduct cross-examinations, if necessary
•Step 9: The applicant files the applicant's record
•Step 10: The respondent files the respondent's record
•Step 11: The applicant files a requisition for hearing date
•Step 12: The parties prepare for the hearing
•Step 13: The parties attend the hearing
•Step 14: The parties complete post-hearing tasks

The appeals process, as of 9/14/15 is at Step 7.

The company is also seeking damages for itself, as well as its shareholders from lost revenue potential. On 9/1/15, the Attorney General for Canada was served with their claim for damages under NAFTA.

2) HEMP TECHNOLOGIES:
This company was acquired with a majority ownership by FITX 3/2014. Bill Chaaban, CEO & President of Creative Edge Nutrition stated, “we are very excited to have acquired Hemp Technologies Ltd. This will allow us to become growers and resellers of hemp and hemp products worldwide. It compliments our corporate mission of becoming a licensed grower and reseller of medical marijuana. We intend to utilize hemp for the extraction of CBD’s where allowed by law; in addition to all other activities being currently undertaken by Hemp Technologies Ltd.” Bill hired Anndrea Hermann as President of Hemp Technologies Ltd and Chief Scientific Officer for Creative Edge Nutrition Inc. in 3/2014. She has an extremely impressive and well-educated background. Notably, her resume shows: "Health Canada Authorized THC, Seed, Derivative, and Crop Sampling with Transporting, 2005-Present", as well as President of the Hemp Industries Association. 3) CENERGY NUTRITION:
This subsidiary was the sports supplement nutritional line. The launch of their new energy drink product line “Giddy Up Energy” is expected any day. Cenergy products were/are sold on the biggest online supplement stores including Amazon, Bodybuilding.com, Europa Sports, Prosource, NutritionExpress, multiple others, and getting great reviews and placement on the bodybuilding.com product popularity charts. Our products were outselling more than HALF of the 418 products sold on the biggest online supplement store, bodybuilding.com (#189 on 2/4/14).

--> Notably, Leonard Armenta served as Vice President of Brand Management & Marketing. Prior to joining Cenergy in 2013, he served as the Chief Operating Officer and later, Executive Vice President of MusclePharm (MSLP). He was instrumental in MusclePharm becoming one of the leading U.S. nutritional brands with massive growth and revenues, and he was responsible for placing MusclePharm into the largest US distributors and in over 35 International countries. MusclePharm is rapidly growing in popularity and now boasts it’s own Arnold Schwarzenegger line (which Arnold continues to actively promote) and sponsors multiple high profile athletes, including Tiger Woods, Colin Kaepernick, Johnny Manziel, and is the Official Supplement Provider of the UFC (Ultimate Fighting Championship).

II. As part of the strategic acquisitions and vertical integration strategy discussed above, FITX made multiple company acquisitions:
1) 4 active revenue-generating online nutritional supplement stores: SUPPLEMENTSTOGO.COM, A-Z-NUTRITION.COM, WORLDCLASSNUTRITION.COM, CHESAPEAKENUTRACEUTICALS.COM. These additional websites not only give us revenue from our own Cenergy line, but also revenue from selling all of the major supplement and bodybuilding brands.
2) 3 active revenue-generating brands/companies: SCIENCE DEFINED NUTRITION (makes the popular Rogue sports nutrition supplement line), SCI-FIT, NATURE'S SCIENCE.
3) 3 active revenue-generating "Canadian Nutrition Superstores", which consist of brick and mortar nutritional supplement stores in Canada, selling all the major supplement and bodybuilding brands.
4) Seeds R Us Inc., which imports and distributes nutritious seeds such as chia seeds. Many of these seeds such as chia are incorporated into our products.
5) SCD Enterprises, LLC
6) Innovative Fulfillment Corp, which was an already profitable company producing sales.
7) Hemp Technologies Ltd (3/7/14): Bill Chaaban, CEO & President of Creative Edge Nutrition stated, “we are very excited to have acquired Hemp Technologies Ltd. This will allow us to become growers and resellers of hemp and hemp products worldwide. It compliments our corporate mission of becoming a licensed grower and reseller of medical marijuana. We intend to utilize hemp for the extraction of CBD’s where allowed by law; in addition to all other activities being currently undertaken by Hemp Technologies Ltd.”
8) FITX has entered into a Joint Venture with RXNB Inc. to offer exclusive marijuana liabilities insurance for North America through Wellness Medical Protection Group (WMPG; linked above). There are also several pharmaceutical companies (such as Creams N’ Caps, Brooklyn Distribution, etc. linked above) which fall under the RXNB umbrella and it is unclear how these will all integrate with FITX, but mergers are suspected to be in the plans. After strategic developments and acquisitions of a key insurance brokerage firm, RXNB Inc. launched The Wellness Medical Protection Group with a niche focus in medicinal marijuana insurance in collaboration with Creative Edge Nutrition, Inc. This joint venture focuses on the offering of medicinal marijuana insurance for licensed producers, dispensaries, grow facilities and even the medicinal marijuana prescriber.

III. Historical Summary of Creative Edge Nutrition (FITX) and CEN-Biotech:
The building of FITX up to this point has been carried out strategically in a small amount of time in a business sense, as detailed below:

1) Bill Chaaban didn't become CEO until April 2012. This is when the real history of FITX began. Everything before this, including the reverse merger into the LBGE shell in 2011, is now irrelevant history. When he came on board, Creative Edge Nutrition had an idea for a single product, Metabolic Xtreme, but no actual products or revenue. Bill put an impressive team together with several attorneys (Bill himself is a licensed attorney and dual citizen in both US and Canada), financial experts, scientists/physicians (including some of which have led NIH-grant studies), and began to progress the company significantly and quickly. However, let's review the important background of how FITX has developed:

The business of LBGE was a completely different and unrelated type of business, and went defunct so Creative Edge reverse merged into the LBGE shell in 2011 in order to be able to expedite the process of becoming public. The initial CEO of Creative Edge named after the reverse merge was Paul Thomas, who was also the CEO of EST Nutrition at the same time (so he was wearing two hats). At that point, Creative Edge had 1 product in R+D (Metabolic Xtreme), but he was slow in moving it and the company forward. Bill Chaaban was then brought in to replace him in April 2012. Shortly after becoming CEO, Bill started really getting the business going. Not only did he bring Metabolic Xtreme to market, but he quickly brought several other products through R+D and to market, including AminoPlex and HyperInfusion. Bill also quickly wanted to get a ticker change to reflect the current business that had nothing to do with the old business, so he had it changed from LBGE to FITX. Not only did he get the nutritional side of the company up and running strongly (which is still ongoing), he announced and began development of a MMJ subsidiary 3/2013, CEN-Biotech, and we witnessed a tremendous growth in this subsidiary in a very short amount of time.

2) From day one, Bill described his long term plan of vertical integration and strategic acquisitions to not only build organically, bring in instant revenue streams to fund future company projects (CEN-Biotech has been the major one), as well as build long term shareholder value. I have outlined these strategic acquisitions and vertical integration strategies above.

3) After only a short time since becoming CEO, the Cenergy line had multiple products selling on multiple websites. Cenergy products were/are sold on the biggest online supplement stores including Amazon, Bodybuilding.com, Europa Sports, Prosource, NutritionExpress, multiple others, and getting great reviews with rapid movement up the bodybuilding.com product popularity charts. Our products were outselling more than HALF of the 418 products sold on the biggest online supplement store, bodybuilding.com (#189 on 2/4/14). THIS WAS MAJOR PROGRESS.

4) On 3/25/13 FITX announced its entrance into the medical marijuana industry. We had made tremendous progress in a VERY SHORT time period, putting us into a leading position in this new projected multi-billion dollar industry of MMJ. However, the delays detailed above have temporarily slowed that progress.

-FITX received the "Ready to Build" letter from Health Canada in November 2013. The build out and details of progress and reasons for delay are detailed above. On 1/9/14, FITX received Health Canada's approval of tracking compliance by utilizing a new state-of-the-art M3Hub Seed to Sale Tracking platform with their partner (at that time; unsure of current relationship), EDXC, which meets and exceeds Health Canada's tracking compliance thresholds.

-FITX is actively involved with advancing the medical marijuana bills in Michigan, involved with the local government, and has hired lobbyists to assist in this. FITX has announced that they are poised to be a leader in the Michigan medical cannabis industry as legalization becomes reality.

-On 5/9/14, Bill posted the following on Facebook to shareholders:

Dear Shareholders:

It is with great pleasure to advise you that we purchased a 25 acre site in Lakeshore, Ontario (approximately ¼ mile from our main site). The site is located at 135 North Rear Rd. The site is nearly complete and we will call for pre-license inspection on it within a few weeks. This site is intended to be our research and development facility, to test new strains and new grow technologies. This is an independent and separate application from our site at 20 North Rear Rd, Lakeshore, Ontario. This will also be a stand alone fully functional facility. A smaller model of our building one site one stand alone model. It will be a cGMP/ USP 797 facility and have a similar work flow model to our main site. We have applied for the license to grow and sell marijuana and will be applying for the license to grow hemp on the site and conduct hemp trials.

-Bill Chaaban has recruited an absolutely amazing board of directors (BOD) and medical team consisting of expert physician-scientists with world-renowned recognition in the medical, scientific, research, and financial industries including a prior senior level executive at Fidelity and JPMorgan (see highlighted links below). This personnel is detailed in the press releases listed further down.

-Bill Chaaban had been flying back and forth to various countries including Tanzania and Ukraine and meeting with high level governmental authorities (pictures were available on the company Facebook page) for setting up business infrastructure which is not entirely clear yet, but investors are awaiting further details. He was awarded an Honorary Doctorate Degree and Medal of Honorary Academician from the Ukraine in November 2014, so significant business developments between these countries and FITX are suspected.


IV. CELEBRITY DISCUSSIONS/INVOLVEMENT WITH FITX:
-We were represented by the 2013 PR Agency of the year, 5W (although FITX has since stopped working with them). They work for a huge list of household name celebrities and companies (such as McDonald's, GQ, 1800 Tequila, Barne's & Noble, Microsoft MSN, Welch's, Cold-EEZE, Walgreens, IHOP, Wyndham, Snoop Dogg, Pam Anderson to name a few).
