Maybe the SEC won't register the 177 million shares. That won't stop the share dumping, possibly because of this:
Brokers or dealers effecting transactions in these shares should confirm that the shares are registered under applicable state law or that an exemption from registration is available. They may be able to rely on exemption from registration and just dump the shares anyway?
I don't think the 10 million shares for MDNT shareholder can rely on exemption.
