Had a discussion with a friend on the late filing and apparently switching from their long time regional firm Keeton to Marcum who is a National Firm ranked number 7 among Auditing Firms, there were differences in how things are done in the big leagues.
They are working out the bugs to get aligned with their new Auditor so they can go forward with confidence that they are ready structurally as a Company, to apply for NASDAQ.
Could not get information on what event was coming that would qualify them for the exchange, but apparently there is something, which I would think was big enough to allow them to make the move. They need to get off of this Market which is full of Crooks (OTC) and they know it.
