If Broker NON votes are NO votes (or against) it will not be a matter of adjourning anything but of starting all over again...

Not true; broker non-votes are not the same thing as explicit no votes. Rather, broker non-votes have the same effect as no votes on the passage of proposal #3. However, broker non-votes can be changed to yes votes if the company adjourns the annual meeting and thereby allows time for such a conversion to occur.

I’m not asserting that PPHM will, in fact, adjourn the annual meeting if proposal #3 initially fails on account of broker non-votes, but it’s a possibility.
