You might want to read excerpt from LAST PR you say you read >> The purchase price for the business segment to be paid by Mr. Minikes to the Company shall be the cancellation of all amounts owed to Mr. Minikes, the return of all stock and options in the Company and the assumption of all liabilities and obligations of the business segment.

Key word ASSUMPTION OF ALL THE LIABILITIES & OBLIGATIONS
