Jake, if you really want to push your idea, make it a shareholder proposal.

"The number of shares authorized shall not be increased by more than NNN until the BOD is expanded by 2 members, with 1 being outside".

Or any such more properly worded proposal that is counter to #3.

The mere existence of the proposal (if you can get it past the legal hoops), makes #3 non-routine and thus would block it.

THAT would get you some response.
