Absolutely correct, Malc. The "no bashing" clause is clearly illegal, and unenforceable.
The company has clearly committed a breach of its fiduciary responsibilities and will be held accountable. They can try to lay the blame at Kerry's feet but she was acting on their behalf with THEIR authority, so THEY are clearly jointly and severally liable.
This could wind up costing quite a bit more than the original $4 MILLION! Not to mention the personal liability of Joel and the BOD for defaming those shareholders.
