As a Uniloc shareholder for the past six years I am deeply troubled by what is happening. Uniloc has $3 million in debt and MARA has over $33 million in debt. Yet the Uniloc shareholders will be receiving a paltry 5% value in the NEWCO.

MARA appears to be in a cash crunch and Uniloc appears to be giving them a "lifeline" if this merger goes through. The market's response has been a downward action since this proposed deal was announced.

I don't know if the private Uniloc shareholders have enough votes to negate this situation but I certainly don't support it.
