On August 24, 2015, shareholders of Bedrocan will be asked to consider pursuant to an
interim order of the Ontario Superior Court of Justice (Commercial List) dated July 20, 2015 and, if
deemed advisable, approve, with or without variation, a special resolution approving a statutory plan of
arrangement pursuant to Section 182 of the Business Corporations Act (Ontario) involving the acquisition
by the Corporation of all of the issued and outstanding common shares of Bedrocan, on the terms and
subject to the conditions contained in the Arrangement Agreement. Subject to the approval of the
Transaction by the shareholders of Bedrocan, a hearing in respect of the final order for the Transaction is
currently scheduled to take place on August 26, 2015.
