UPDATE!
Folks, it has been a long month as Mr Gordon Smith has been performing his DD on the company, but I am proud to report that Mr. Smith will be joining the company as a consultant of corporate development!!
That is the good news, the news I am saddened to report is that this afternoon, after the conclusion of the meeting, our PCS co-CEO Robert Grover received news of a loss of a relative. Mr. Grover has not been available to aid in the delivery of the news so it has been decided by co-CEO Hackett and myself to provide you the details via recorded call and I will be distributing that call via my Youtube Channel. (Link to follow)
Thoughts and prayers to the Grover family for your loss.
Since it is important to be timely, but we anticipate Mr. Grover will not be available to have a Press Release by August 6th pre market, we have decided to at least get you the facts as the have unfolded, follow it up with an 8k tomorrow with the aid of our Corporate Controller, and ask for your understanding on filing the full Press Release through PRNews as rapidly as we are able.
Having said this, I have the following facts to report:
Gordon Smith has met with the company and individually on-on-one on multiple occasions regarding how/if he can get involved in helping the company accelerate its growth.
I chose Mr. Smith for this purpose because of his history in successful business development, having already built two multi billion dollar corporations in the Boise area. Simplot Corp, which he took from a 5-6 MM Business, to a multi Billion dollar company where he served as both CFO and CEO. Mr. Smith was also the co founder of Micron Technology along with long time friend and boss Mr. Jack Simplot. Mr. Smith had this to say about his experience with starting Micron. "We took a company that wasn't too different from PCS in terms of size and did very well helping them really turn it into something, in fact that company is still growing. But it took a lot of work and people who were serious. I think that the people of PCS are serious too, but like Micron, they could use some help scaling the business fast enough to be (really) successful" (Really said with emphasis) Mr. Smith served on the board of directors of Micron for 27 years.
So Mr. Smith signed a disclosure, took a financial print out and called PCS within an hour after leaving. I received a message he wanted to speak with me. I called and he once again invited me to his home.
When I arrived he said he would agree to become a consultant for the company provided that he could meet with board members, executives and that people take the advice and be willing to work hard with him because "I don't really want to do this unless I can really make a difference. If I feel like anyone is going to have a hard time keeping up, then I wanna be able to grab my coat and go home... Fair enough?"
I agreed
Mr. Smith said "Ok so write up something that outlines my conditions and lets get to work"
What about compensation? I asked. "I don't really give a (___) about money. That's not why I'm going to help this company, so you don't need to ask about that again."
I need to put something in an agreement though.. I think if not legally then surely ethically I said.
"Lets just put it as to be determined or $1 then."
Ok, How about something I can report to the investors of PCS about your direct thoughts on the company? I asked.
"Based on the initial investigation I feel the company has a tremendous amount of potential or we wouldn't have gotten this far and additionally, I wouldn't want to help scale something that couldn't be scaled in a way that really makes a dent"
Thank you. I said. Can you comment what your opinion is on the use of drones?
“I think drones are going to be with us a long time, but there are going to be some real major changes dependent upon on the application. I think that like flying a plane, you need to have a place to safely learn how to operate one. What the rules are and a way to be held accountable. I am excited about the curriculum that PCS has and the certification plan they are working with the regulators on and how I can help speed that along because it's gunna be big."
How important do you feel drone regulation is. I asked.
“Right now I feel it’s very important, and I hear about its need everyday on the radio and think of what I've learned about what PCS is doing to get the problem solved"
Are you excited? I asked.
"You tell your listeners (I think he means the investors) that I'm ready to go to work.. That's what you tell em''
Summary: I am uploading the call between co CEO Todd Hackett regarding Mr. Smith joining PCS. We will be following up with an 8K and a full press release on the matter as well as soon as legal has given its blessing.
