So they are saying they're not going to dilute the stock for at least 1 year. They can issue shares, but they need to be restricted for at least one year. Preferred are shares that can be converted into common usually at on a ratio ie: 10 common shares for each preferred, 100 common shares for each preferred and so on.. For short term investors this means nothing. Long term over 1 year might want to know what the conversion ratio is.

OK, with that said, they should have NO problem giving the T/A the go ahead to let investors know the current float is thought the year to ensure us there is NO DILUTION...
