Why acquire the shareholder deficit? It must be worse today than the last 10Q filed in May of 2012. As a suitor, why not license the technology and leave the debt and mismanagement with FASC?

What also has me concerned, maybe you have inside information (no trading going on here, so it is not illegal) is that the issuer never carried a deferred tax asset. This tells me their auditor was not comfortable with carrying that asset as the viability of the product was skeptical at best.

What makes a company not capable of paying an auditor an improved financial situation or having any positive enterprise value.
