'The maximum number of shares with respect to which Awards may be granted to any participant under the 2015 Stock Incentive Plan may not exceed 1,000,000 shares per calendar year. The maximum number of shares with respect to which Awards other than options and stock appreciation rights may be granted under the 2015 Stock Incentive Plan is 90% of the total number of shares available for issuance thereunder. The maximum aggregate number of shares with respect to which Awards may be granted to directors who are not employees of HDS at the time of grant shall be 10% of the total number of shares available for issuance under the 2015 Stock Incentive Plan. Performance Awards can also provide for cash payments of up to a maximum of $15,000,000 per calendar year per individual. Up to 5,000,000 shares shall be available under the 2015 Stock Incentive Plan for Awards in the form of incentive stock options.'
