In fact, loan repayment has no bearing on LUK's rights to force a sale after 3 years.
LUK holds these rights no matter what, until the assets of Newco are sold.
This is the fact being ignored. Sorry, but you appear to have misread the terms slightly. Oops, too bad for you!
