SHARE ISSUANCE/PROPERTY INTERESTS REASSIGNMENT AGREEMENT
This Agreement is for the assignment and/or reassignment of certain property interests, pursuant to the
terms and conditions herein set forth, dated as of November 20, 2014, between the following parties:

Gear International, Inc. (“Gear”), a Wyoming Corporation,

Halberd Corporation (“Halberd”), a Nevada corporation,

Expanse Enterprises, LLC (“Expanse”), an Illinois limited
liability company,

Capitol Capital Corporation, a Wyoming Corporation,

Corr Brands, Inc., an Illinois corporation,

Richard Goulding M.D., Freelance, LLC, a Florida limited liability company,

Securities Counselors, Inc., an Illinois professional corporation, and/or its designees,

Pope Enterprises, LLC, a Maryland limited liability company;

North Shore Equity Trading Inc, a New York corporation;

Take Flight Equities, Inc., a Washington corporation;

Nobilis Consulting LLC, a New York limited liability company

Belmont Management Services LLC, a Florida limited liability company

(each herein referred to, in such capacity, as an “Assignor”).
and

Halberd Corporation (“Halberd”), a Nevada corporation,

Gear International, Inc. (“Gear Wyoming”),

Encounter Technologies Inc. (“ENTI”), a Colorado corporation

Central Wireless, Inc. (“CWIR”), a Colorado corporation

Texas Wyoming Drilling, Inc. (“Texas Wyoming”) a Delaware corporation,

IDGlobal Corporation (“IDGlobal”), a Nevada corporation, and
IJJP, Inc. (“IJJP”)

(each herein referred to, in such capacity, as an “Assignee”)

Each shall be referred to as a “Party” and collectively as the “Parties.”
RECITALS:
WHEREAS, the Assignors received the right to receive income (the “Property Interests”.....
