If Aruda received shares (NOT options), doesn't he face a definitive tax consequence upon receipt? Not sure when or at what price shares were/are distributed, but between state and federal capital gains he's looking at a pretty ugly tax burden. He may or may not have the financial wherewithal to hold as many shares for as long as he'd like.
