The 8-k is not showing at what price per share Union Capital was issued stock at. My concern is that they were issued stock below market trade price. Basically, 5 decimals (.00001). So, Union Capital actually can walk this stock all the way down to bottom market pricing (.0001) and still turn a profit.

A lot of Share Holders here owned higher than 0.0001 before the reverse split. Share Holders are going to need a miracle to happen in-order to recuperate their current losses.
