After reviewing Colorado law I don't believe a vote is required. However I do believe consent by a majority of shareholders may be required. They could get that consent without telling most of the shareholders and they don't need a proxy or shareholder meeting to do it. I'm not an attorney but that is how I read it. Gagging of the T/A looks highly suspicious as if they are trying to hide something of this nature from us. The obfuscation seems to be accelerating.
